Surepayd Customer Terms and Conditions

These Customer Terms and Conditions (“Terms”) govern access to and use of the SurePayd software platform and related services provided by Surepayd Services Pty Ltd (ABN 92 617 873 935) (“SurePayd”, “we”, “us”, or “our”).

By accessing or using the SurePayd platform, the customer (“Customer”, “you”, or “your”) agrees to be bound by these Terms.

If the Customer has entered into a separate written agreement with SurePayd (including a Master Services Agreement or Statement of Work), that agreement will prevail to the extent of any inconsistency. These Terms apply where the agreement is silent or does not address a specific matter.


1. Services

SurePayd provides a cloud-based platform designed to facilitate customer payment management, automation of financial workflows, and customer engagement related to invoicing, payments, disputes, and account management.

Services may include:

  • Customer self-service portals
  • Payment processing integrations
  • Automated engagement and notification workflows
  • Financial reconciliation and matching capabilities
  • Reporting and analytics tools

Services are provided on a software-as-a-service (SaaS)basis and may evolve over time as the platform is updated.


2. Licence to Use the Platform

Subject to compliance with these Terms and payment of applicable fees, SurePayd grants the Customer a non-exclusive, non-transferable, limited licence to access and use the SurePayd platform during the subscription term.

The Customer must not:

  • copy, reverse engineer, modify, or attempt to derive source code from the platform
  • resell, sublicense, or distribute the software without written permission
  • attempt to bypass security controls or access restricted components
  • use the platform for unlawful or fraudulent purposes

All intellectual property rights in the SurePayd platform remain the property of SurePayd.


3. Minimum Subscription Term

Unless otherwise agreed in writing, the minimum subscription term for SurePayd services is twelve (12) months from the commencement date of the service.

Following the initial term, services may continue on a recurring basis unless terminated in accordance with the applicable agreement.


4. Fees and Billing

4.1 Licence Fees

Customers must pay the licence fees specified in their agreement, proposal, or order form.

Invoices are payable within thirty (30) days from the invoice date unless otherwise agreed.


4.2 CPI Fee Adjustments

SurePayd may increase licence fees annually in line with the Australian Consumer Price Index (CPI – All Groups)

Any CPI adjustment will take effect on the anniversary of the Customer’s contract commencement date


4.3 Additional Users and Usage

Customer subscriptions include a defined number of licensed users.

If the Customer:

  • adds additional users, or
  • exceeds permitted usage limits,

SurePayd may:

  • automatically apply additional licence fees, and
  • invoice the Customer retrospectively for excess usage.

The Customer agrees to pay such charges when invoiced.


4.4 Pass-Through Costs

Certain third-party services used in connection with the platform may incur additional costs, including but not limited to:

  • payment gateway fees
  • bank transaction fees
  • credit bureau or risk scoring services
  • SMS and email messaging services
  • cloud infrastructure or hosting costs
  • third-party integrations

These costs are not included in licence fees and may be invoiced separately by SurePayd.

SurePayd may invoice these charges monthly and such costs may change without notice where imposed by third-party providers.


5. Customer Responsibilities

The Customer agrees to:

  • provide accurate data required for system integrations
  • maintain appropriate internal controls for user access
  • comply with applicable laws and payment regulations
  • ensure that users authorised to access the platform comply with these Terms

The Customer is responsible for all activities conducted under its user accounts.


6. Acceptable Use

Customers must not use the SurePayd platform to:

  • engage in fraudulent or unlawful financial activity
  • distribute malicious software or attempt to compromise platform security
  • send abusive, misleading, or unlawful communications to end customers
  • interfere with platform performance or other customers’ use of the system

SurePayd reserves the right to suspend or restrict access where misuse is detected.


7. Suspension of Services

SurePayd may suspend or restrict access to the platform if:

  • the Customer breaches these Terms
  • the Customer fails to pay invoices when due
  • platform usage creates security risks or operational disruption

SurePayd will use reasonable efforts to notify the Customer prior to suspension where practicable.


8. Data Security and Privacy

SurePayd maintains security and operational safeguards designed to protect customer data and ensure platform availability.

Customer data remains the property of the Customer.

SurePayd processes customer data solely for the purpose of delivering the services and maintaining platform functionality.

Customers are responsible for ensuring that their use of the platform complies with applicable privacy and data protection laws.


9. Service Availability

SurePayd aims to provide reliable and continuous access to the platform. However, services may occasionally be interrupted due to:

  • scheduled maintenance
  • infrastructure updates
  • third-party provider disruptions
  • events outside SurePayd’s control

SurePayd does not guarantee uninterrupted service availability.


10. Limitation of Liability

To the maximum extent permitted by law, SurePayd’s total liability arising out of or relating to the services or these Terms is limited to the total fees paid by the Customer to SurePayd during the twelve (12) months preceding the event giving rise to the claimSurePayd is not liable for:

  • indirect or consequential loss
  • loss of profits or business opportunity
  • loss of data arising from third-party systems or integrations

Nothing in these Terms excludes liability where such liability cannot be excluded under applicable law.


11. Termination

Either party may terminate the services if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period following written notice.

Termination does not relieve the Customer of any outstanding payment obligations.


12. Changes to These Terms

SurePayd may update these Terms from time to time to reflect changes in services, regulatory requirements, or operational practices.

The latest version will always be published on the SurePayd website.

Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.


13. Governing Law

These Terms are governed by the laws of New South Wales, Australia

The parties submit to the exclusive jurisdiction of the courts of New South Wales.
